Restructuring Business Entities

December 13

Learn strategies to optimize tax structures, enhance efficiency, and boost client operations.

This presentation aims to equip tax practitioners and advisors with the knowledge to optimize their clients’ existing operations through more efficient and economical tax structures. Attendees will learn to assess the best strategies for restructuring business operations to enhance both tax and operational efficiency.

The course will also cover methods to evaluate the most efficient tax structures based on a client’s historical performance and ownership and determine whether restructuring or changing business entities would be beneficial. Alongside the theoretical tax implications of such changes, the presentation will include practical examples and models that have been successfully implemented for our firm’s clients.

Learning Objectives

  • You will be able to define the tax consequences of various types of sales in varying entity structures.
  • You will be able to describe the process for analyzing whether it makes sense for an existing entity to convert tax structures, or to consolidate entities via internal restructurings.
  • You will be able to identify the common issues associated with internal restructurings and entity conversions.
  • You will be able to to review a comparison model of the tax consequences of converting from a partnership to a C corporation, both from an operational cash-flow perspective as well as from a prospective sale down the line.
