Six Common Section 409A Situations That Give Rise to Issues

 
On a day-to-day basis you may encounter common Section 409A situations with different compensation plans. Top Hat plans are the area where most people understand that Section 409A comes into play. Most people understand that there are new restrictions and are on top of those issues. Bonus plans can also have Section 409A issues. Severance issues, equity compensation, employment agreements, mergers and acquisitions can all run into issues with Section 409A.

In this 49-minute video our speaker, Steve Flores, reviews these six common Section 409A situations. Top Hat plans are nonqualified deferred compensation plans that must be in compliance. Bonus plans can include a variety of incentive compensation agreement issues. Severance often has no pre-existing promise. Much of equity compensation is paid in stock of which some are subject to Section 409A but some can be exempt if designed to be a short-term deferral. Section 409A has had a significant impact on employment agreements. Issues with mergers and acquisitions prove valuable to self-audit.
