Corporate Maintenance - Developing a Checklist

 
Learn how to create a checklist using Delaware statutes and understand the interplay between the Certificate of Incorporation, bylaws, shareholders agreement and contractual provisions. There are basic details to include however the Certificate of Incorporation may also contain wording regarding a management provision. Any provision for the management of the business and for the conduct of the affairs of the corporation; and any provision creating, defining, limiting and regulating the powers of the corporation, the directors, and the stockholders, or any class of the stockholders; must not be contrary to the laws of the state. Any provision which is required or permitted to be stated in the bylaws may instead be stated in the certificate of incorporation.

Mr. Aronson is the inaugural and past chair of the Dade County Bar Association’s Business Law Committee, and a past chair of the Corporations, Securities and Financial Services Committee of The Florida Bar’s Business Law Section. He has served on The Florida Board of Bar Examiners by appointment of the Supreme Court of the State of Florida.
