Corporate Formation - Developing a Checklist

 
In order to understand advanced recordkeeping techniques it’s important to understand corporate formalities in the context of applicable law and regulation. This includes choice of entities, corporations, knowing and paying attention to the type of entity you are dealing with, and knowing the state of formation and having access to the applicable statute. Be wary and avoid being trapped by assuming all state statutes are identical.

In this video our speaker, Alan H. Aronson, reviews goals and intent of entities and corporations. He discusses the importance of knowing your accessible resources including the American Bar Association revised Model Business Corporation Act, state annotated statutes, law review articles, and Internet sources.

Mr. Aronson is the inaugural and past chair of the Dade County Bar Association’s Business Law Committee, and a past chair of the Corporations, Securities and Financial Services Committee of The Florida Bar’s Business Law Section. He has served on The Florida Board of Bar Examiners by appointment of the Supreme Court of the State of Florida.
