Construction Contracts - Termination

 

Failure to give the required notice may constitute a material breach of the contract.

Absent law to the contrary, if the contract so provides, the contract may be terminated as a result of a party’s material breach without providing the breaching party notice or the opportunity to cure its breach. Many contracts contain clauses allowing the owner or upstream party to terminate the contract, in whole or in part, when it is their interest. This video reviews notice and opportunity to cure, termination for convenience, and limitation of remedies.
