Checklist of What Owners and Parent Companies Can Do to Avoid Veil Piercing

 
Our speaker, Christopher C. Mason, offers some advice to any corporation, or any individual wanted to form a corporation … use a lawyer. Online templates are everywhere but those forms may not be the correct forms you need for your particular circumstances. Online templates can be highly problematic and are often seen in a veil piercing context. Using a lawyer is one of the first items on our speaker’s checklist for establishing a corporation or LLC. He also suggests that one files appropriately drafted articles of incorporation or certificate of formation (LLC) with the state. Apply for and obtain all state and local business identification numbers and state accounts in each state where doing business. This includes Department of Revenue (State Tax) Account, State Workers Compensation Account, master business license, city and county licenses. Also, have counsel draft bylaws (corporation) or operating agreement (LLC).
