Battle of the Forms Basic Advice and Contracting Minimum Requirements

 
Our speaker’s basic advice to Article 2 is two-fold – there is simply no substitute for reading the documents; and if you don’t like what you see, keep on reading. Read the contacts, understand them, the proposed terms and conditions, and make sure they are exactly what you want them to be and if they aren’t then negotiate to get them fixed. He also discusses minimum requirements of enforcing contracts and how Article 2 will supplement the agreement to provide other relevant terms, including warranties and price. Mr. Pierce also discusses electronic contracting and the need to embrace email when dealing with these types of contracts. He wraps up this video with a discussion of adequacy of consideration and firm offer exceptions.
