Franchise and distribution companies face a complex array of federal and state laws and regulations. You will gain a thorough understanding of what makes a business a franchise under federal law, common state and federal compliance issues and accompanying registration and disclosure requirements. This topic covers a full range of essential topics such as the Franchise Disclosure Document (FDD), important franchising exemptions, states with "business opportunity" laws and the structure of franchise agreements. In addition, the program examines distribution law, including a review of state-based legal restrictions and distribution agreement terminology.
