Restrictive covenants serve the purpose of allowing employers to protect their goodwill, proprietary information, clients and customer lists and information, and direct competition and solicitation from employees or former employees, so long as they are reasonable in scope, duration, and are for the express purpose of protecting a legitimate business interest, and not just in prohibiting fair competition. Restrictive covenants come in the form of non-compete agreements, confidentiality agreements, and non-solicitation agreements.
