About Me

What do you enjoy about the work you do?
I have practiced corporate and securities law, primarily in the financial institutions area, for more than 30 years. I routinely represents banks, bank holding companies, and other financial entities in acquisitions, capital raising transactions, shareholder issues, new bank formations, and board fiduciary duty issues. I have advised both buyers and sellers in approximately 80 bank mergers and acquisitions, ranging from small community banks to the acquisition of a $34-billion holding company. I also advise banks regarding regulatory issues, examination, compliance, and enforcement proceedings.
What topics have you lectured or presented on?
I am a frequent speaker at seminars and is a regular contributor to the Community Bankers Association of Alabama's Banking Traditions magazine. I have written numerous law review articles on banking and securities, and is the author of Proxy Regulation, published in 1992 by the Practising Law Institute.
